These Terms and Conditions constitute a legally binding agreement between you, whether personally or on behalf of an entity (“you”), and MYZION LLC concerning your access to and use of the Services. By accessing or using the Services, you agree that you have read, understood, and agreed to be bound by these Terms and Conditions.

If you do not agree with all of these Terms and Conditions, you are prohibited from using the Services and must discontinue use immediately.

Supplemental terms, notices, lease agreements, property rules, portal terms, application terms, payment processor terms, or other documents may apply to specific services and are incorporated into these Terms and Conditions by reference where applicable.

We may update these Terms and Conditions from time to time. We will indicate updates by changing the “Last updated” date above. Your continued use of the Services after updated terms are posted means you accept the updated terms.

The Services are intended for users who are at least 18 years old. If you are under 18, you may use the Services only with the permission and supervision of a parent or legal guardian.

1. Our Services

ZION MGMT provides property management-related information and online resources through the Site. The Services may include information about property management services, owner services, resident services, rental listings, resident portals, owner portals, maintenance request resources, notice-to-vacate resources, career opportunities, contact forms, and related communications.

The information provided through the Services is for general informational and operational purposes only. It is not intended to replace a lease agreement, property management agreement, written notice requirement, payment obligation, legal notice, or other binding written agreement.

The Services are intended for use in accordance with applicable United States federal, state, and local laws. Users who access the Services from outside the United States are responsible for compliance with local laws where applicable.

2. No Lease or Management Agreement Created by Website Use

Your use of the Site, submission of a contact form, submission of an inquiry, request for information, rental application submission, maintenance request, owner inquiry, or communication with us through the Services does not, by itself, create a landlord-tenant relationship, property management agreement, brokerage relationship, agency relationship, lease, contract, or other binding legal relationship with ZION MGMT.

Any lease, rental agreement, property management agreement, owner agreement, vendor agreement, or other legally binding arrangement must be separately reviewed, approved, and executed by the appropriate parties.

3. Property Listings, Availability, and Information

The Site may display or link to rental listings, property information, pricing, availability, photos, floor plans, descriptions, amenities, policies, application information, and other property-related content.

We attempt to keep information accurate and current, but property information may change without notice. Listings, pricing, availability, fees, deposits, lease terms, concessions, move-in dates, pet policies, utility obligations, and other details are subject to change and may be withdrawn, corrected, or updated at any time.

Photos, descriptions, and property details are provided for informational purposes only and may not reflect the exact condition, layout, features, or availability of a specific unit. You are responsible for confirming all material details before submitting an application, signing a lease, making a payment, or relying on any property information.

Nothing on the Site constitutes a guarantee that a property or unit is available, that you will be approved, or that any specific rental terms will be offered.

4. Rental Applications and Screening

Rental applications may be processed through ZION MGMT or through third-party application, screening, leasing, or property management platforms. By submitting an application, you agree to provide accurate, complete, and current information.

Application approval may be subject to screening criteria, identity verification, credit history, income verification, rental history, employment information, background checks where permitted, references, applicable housing laws, property-specific requirements, and other lawful review factors.

Submission of an application does not guarantee approval, unit availability, lease execution, move-in approval, or acceptance of any specific terms. Application fees, holding fees, deposits, and related charges may be subject to separate terms, disclosures, and applicable law.

We comply with applicable fair housing laws and do not intend to discriminate against any person on the basis of protected characteristics under applicable federal, state, or local law.

5. Resident, Owner, and Third-Party Portals

The Site may link to resident portals, owner portals, payment portals, application platforms, maintenance platforms, document platforms, or other third-party systems used to support property management operations.

These portals may allow users to pay rent, submit maintenance requests, access documents, submit notices, review statements, communicate with management, or manage account information.

Third-party portals are governed by their own terms, privacy policies, security practices, and user agreements. We are not responsible for the availability, security, content, errors, downtime, or practices of third-party websites, platforms, or service providers.

You are responsible for maintaining the confidentiality of your portal login credentials and for all activity that occurs under your account. You should notify the applicable portal provider and ZION MGMT immediately if you believe your account has been compromised.

6. Payments, Rent, Fees, and Third-Party Processors

Rent payments, owner payments, deposits, fees, application charges, maintenance charges, or other payments may be processed through third-party portals or payment processors.

Payment terms, processing fees, transaction limits, payment methods, chargebacks, reversals, failed payments, convenience fees, late fees, and related payment issues may be governed by your lease, owner agreement, applicable law, or the terms of the payment processor.

ZION MGMT does not directly store full payment card information through the public Site. Payment information submitted through third-party systems is handled by the applicable third-party payment provider.

A payment submission does not guarantee that a payment has cleared, been accepted, or been properly applied. You are responsible for confirming payment status and complying with the payment requirements in your lease, agreement, or applicable portal.

7. Maintenance Requests and Emergencies

The Site may provide information or links for submitting maintenance requests through a resident portal or related system. Maintenance request tools are intended for ordinary property maintenance communication and coordination.

Maintenance submissions do not guarantee immediate service, approval of repair work, or a specific response time. Response times may vary based on the nature of the issue, vendor availability, property access, lease terms, severity, business hours, and applicable laws.

Do not use website forms, email, or standard portal requests for life-threatening emergencies, fire, active flooding, gas leaks, medical emergencies, crimes in progress, or other urgent safety issues. For emergencies, call 911 or the appropriate emergency service provider immediately.

If your lease, resident portal, or property communication materials provide a specific emergency maintenance process, you are responsible for following that process.

8. Intellectual Property Rights

Unless otherwise indicated, the Services, including website design, text, graphics, images, logos, icons, photographs, videos, software, functionality, layout, and other content, are owned by or licensed to ZION MGMT and are protected by copyright, trademark, and other intellectual property laws.

Subject to your compliance with these Terms and Conditions, we grant you a limited, non-exclusive, non-transferable, revocable license to access and use the Services for personal, informational, residential, owner, vendor, or business inquiry purposes.

You may not copy, reproduce, republish, upload, post, display, distribute, modify, sell, license, scrape, aggregate, or exploit any part of the Services for commercial purposes without our prior written permission.

All rights not expressly granted are reserved by ZION MGMT.

9. Your Submissions

If you send us questions, comments, feedback, suggestions, inquiries, requests, documents, photos, application materials, maintenance details, or other information through the Services (“Submissions”), you agree that we may use those Submissions for the purpose of operating our business, responding to you, providing services, maintaining records, processing requests, improving operations, and complying with applicable obligations.

You represent that any Submissions you provide are accurate, lawful, and do not violate the rights of any third party. You are responsible for the content you submit.

Do not submit confidential, sensitive, or unnecessary personal information through public forms unless specifically requested and appropriate for the service being used.

10. User Representations

By using the Services, you represent and warrant that:

  • You have the legal capacity to agree to these Terms and Conditions.
  • You will comply with these Terms and Conditions and all applicable laws.
  • All information you provide is true, accurate, current, and complete.
  • You will promptly update information if it changes.
  • You will not use the Services for any unlawful, fraudulent, abusive, or unauthorized purpose.
  • You will not interfere with the security, functionality, or availability of the Services.
  • You will not access the Services through automated or non-human means except through ordinary search engine indexing.
  • Your use of the Services will not violate any applicable law, lease, agreement, or third-party right.

You may be required to register, create an account, or use login credentials to access certain resident, owner, applicant, payment, or third-party portal services.

You are responsible for maintaining the confidentiality of your username, password, and account credentials. You are responsible for all activity that occurs under your account.

We reserve the right to restrict, suspend, terminate, or reclaim accounts or usernames where permitted if we determine that the account is inaccurate, unauthorized, misleading, inappropriate, fraudulent, or in violation of these Terms and Conditions.

12. Prohibited Activities

You may not access or use the Services for any purpose other than the purpose for which we make the Services available.

As a user of the Services, you agree not to:

  • Use the Services in violation of any applicable law or regulation.
  • Submit false, misleading, fraudulent, incomplete, or inaccurate information.
  • Use the Services to impersonate another person or entity.
  • Attempt to gain unauthorized access to accounts, portals, systems, networks, or data.
  • Interfere with security-related features of the Services.

  • Submit improper, abusive, fake, or bad-faith maintenance requests, complaints, applications, or inquiries.
  • Misuse contact forms, support channels, portals, or communication tools.
  • Attempt to bypass any access restrictions or security measures.
  • Use information obtained through the Services to solicit, spam, harass, or harm another person.
  • Use the Services to compete with us or exploit our content for commercial purposes without authorization.
  • Delete copyright, trademark, or proprietary notices from any content.
  • Disparage, damage, or interfere with the operation, reputation, or security of ZION MGMT or the Services.

Violation of this section may result in restricted access, account suspension, termination, legal action, and reporting to law enforcement or appropriate authorities where applicable.

13. Third-Party Websites and Content

The Services may contain links to third-party websites, portals, platforms, applications, listings, payment processors, resident portals, owner portals, screening providers, maintenance systems, maps, social media pages, or other external content.

We do not control and are not responsible for third-party websites, content, services, availability, accuracy, security, privacy practices, terms, fees, or transactions.

Your use of third-party websites or services is at your own risk and is governed by the terms and policies of those third parties.

14. Services Management

We reserve the right, but not the obligation, to monitor the Services for violations of these Terms and Conditions, manage the Services to protect our rights and property, restrict access, remove or disable content, investigate suspected misuse, and take appropriate legal or operational action where necessary.

15. Privacy Policy

We care about data privacy and security. Please review our Privacy Policy, which explains how we collect, use, share, retain, and protect personal information.

By using the Services, you agree that your use of the Services is also governed by our Privacy Policy, which is incorporated into these Terms and Conditions by reference.

Our Privacy Policy includes information about website forms, resident and owner portals, rental inquiries, maintenance requests, cookies, analytics, SMS communications, third-party service providers, and your privacy rights.

16. Term and Termination

These Terms and Conditions remain in effect while you use the Services.

We reserve the right, in our sole discretion and without notice or liability, to deny access to and use of the Services, block certain IP addresses, suspend accounts, terminate accounts, remove content, or restrict access to any person for any reason permitted by law, including violation of these Terms and Conditions or applicable law.

If your access is terminated or suspended, you may not create a new account under your name, a false name, another person's name, or on behalf of another entity without authorization.

17. Modifications and Interruptions

We reserve the right to change, modify, update, remove, suspend, discontinue, or replace any part of the Services at any time without notice.

We do not guarantee that the Services will always be available, uninterrupted, secure, timely, or error-free. The Services may experience downtime, delays, maintenance, technical issues, third-party outages, or other interruptions.

We are not liable for any loss, damage, inconvenience, missed communication, failed submission, delayed payment, unavailable portal, or other issue caused by your inability to access or use the Services.

18. Governing Law

These Terms and Conditions and your use of the Services are governed by and construed in accordance with the laws of the State of New York, without regard to its conflict of law principles.

19. Dispute Resolution

Informal resolution

To resolve disputes efficiently, you and ZION MGMT agree to first attempt to resolve any dispute, controversy, or claim relating to these Terms and Conditions or the Services informally for at least thirty (30) days before initiating a formal proceeding, unless immediate legal action is necessary to protect rights, property, safety, confidentiality, intellectual property, or prevent unlawful activity.

Venue

If a dispute proceeds in court, you agree that the dispute shall be brought in the state or federal courts located in New York County, New York, unless applicable law requires otherwise. You consent to the jurisdiction and venue of those courts.

No class actions

To the fullest extent permitted by law, disputes must be brought on an individual basis and not as a plaintiff or class member in any class, collective, consolidated, or representative action.

This section does not prevent either party from seeking injunctive or equitable relief where appropriate.

20. Corrections

There may be information on the Services that contains typographical errors, inaccuracies, omissions, outdated information, or incomplete details, including property descriptions, pricing, availability, fees, lease terms, service descriptions, contact information, or other content.

We reserve the right to correct errors, inaccuracies, or omissions and to change or update information at any time without prior notice.

21. Disclaimer

The Services are provided on an “as-is” and “as-available” basis. You agree that your use of the Services is at your sole risk.

To the fullest extent permitted by law, we disclaim all warranties, express or implied, in connection with the Services and your use of the Services, including implied warranties of merchantability, fitness for a particular purpose, title, and non-infringement.

We do not warrant or represent that the Services, property information, listings, availability, portal links, payment links, maintenance resources, communications, or third-party content will be accurate, complete, current, secure, uninterrupted, or error-free.

We are not responsible for any errors, omissions, delays, downtime, unauthorized access, data loss, third-party platform failures, viruses, malware, incorrect property information, unavailable listings, or other issues arising from use of the Services.

Nothing on the Site constitutes legal, financial, tax, investment, insurance, housing, or professional advice. You should consult appropriate professionals for advice specific to your situation.

22. Limitations of Liability

To the fullest extent permitted by law, ZION MGMT, MYZION LLC, and our directors, officers, employees, contractors, agents, affiliates, service providers, and representatives will not be liable to you or any third party for any indirect, incidental, consequential, exemplary, special, punitive, or similar damages, including lost profits, lost revenue, loss of data, business interruption, loss of use, loss of opportunity, or other damages arising from or related to your use of the Services, even if we have been advised of the possibility of such damages.

Some jurisdictions do not allow certain limitations of liability, so some of the above limitations may not apply to you.

23. Indemnification

You agree to defend, indemnify, and hold harmless MYZION LLC, ZION MGMT, and our directors, officers, employees, contractors, agents, affiliates, service providers, and representatives from and against any claims, damages, losses, liabilities, costs, expenses, demands, or fees, including reasonable attorneys' fees, arising out of or related to:

  • Your use of the Services;
  • Your violation of these Terms and Conditions;
  • Your violation of applicable law;
  • Your violation of third-party rights;
  • Your Submissions;
  • Your misuse of portals, forms, payment systems, maintenance request tools, or communication channels;
  • Your false, inaccurate, fraudulent, or misleading information; or
  • Any harmful act toward another user, resident, owner, vendor, employee, or third party.

We reserve the right, at your expense where permitted, to assume the exclusive defense and control of any matter for which you are required to indemnify us, and you agree to cooperate with our defense of such claims.

24. User Data

We may maintain certain data that you transmit to the Services for the purpose of operating the Services, responding to requests, managing business records, complying with obligations, and improving performance.

Although we may use reasonable safeguards and service providers to support data security and availability, you are responsible for maintaining your own copies of important records, confirmations, payment receipts, lease documents, notices, maintenance submissions, and communications.

We are not liable for loss, corruption, failed transmission, deletion, unauthorized access, or unavailability of data except where liability cannot be excluded under applicable law.

25. Electronic Communications, Transactions, and Signatures

Visiting the Site, submitting online forms, sending emails, using portals, receiving SMS messages, and communicating with us electronically constitute electronic communications.

You consent to receive electronic communications from us, and you agree that communications we provide electronically, including emails, website notices, portal messages, text messages, policies, disclosures, and other records, satisfy any legal requirement that such communications be in writing, where permitted by law.

You agree to the use of electronic signatures, electronic contracts, electronic notices, electronic records, and electronic delivery of documents where permitted by applicable law.

27. Miscellaneous

These Terms and Conditions, together with any policies, notices, agreements, lease terms, portal terms, payment terms, privacy terms, or operating rules posted by us or incorporated by reference, constitute the agreement between you and us regarding your use of the Services.

Our failure to enforce any right or provision of these Terms and Conditions does not operate as a waiver of that right or provision.

These Terms and Conditions operate to the fullest extent permitted by law. If any provision or part of a provision is determined to be unlawful, void, or unenforceable, that provision or part will be deemed severable and will not affect the validity and enforceability of the remaining provisions.

We may assign our rights and obligations to others at any time. You may not assign your rights or obligations under these Terms and Conditions without our prior written consent.

We are not responsible or liable for any loss, damage, delay, failure to act, or inability to perform caused by events beyond our reasonable control, including natural disasters, utility failures, internet outages, third-party platform failures, labor disputes, government actions, emergencies, or other force majeure events.

No joint venture, partnership, employment, agency, brokerage, property management, landlord-tenant, or fiduciary relationship is created between you and us solely as a result of these Terms and Conditions or your use of the Services.
